Quin Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Quin website and application (collectively, the “Service”), operated by Z12 Ventures LLC (“Quin,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and these Terms apply to that organization.

If you do not agree to these Terms, you may not use the Service.

2. The Service

Quin is a B2B AI-assisted quoting platform designed to help businesses generate quotes, proposals, and related materials more efficiently.

The Service may include:

• Web-based applications and dashboards
• AI-assisted quote generation features
• Data storage and export functionality
• Integrations and background processing

We may modify, improve, or discontinue features of the Service at any time.

3. Eligibility & Accounts

You must be at least 18 years old and using the Service for business purposes.

When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your login credentials
• Ensure that only authorized users access your account
• Promptly notify us of any unauthorized use

You are responsible for all activity that occurs under your account.

4. Use of the Service

4.1 Permitted Use

You may use the Service only for lawful business purposes and in accordance with these Terms.

4.2 Prohibited Use

You may not:

• Use the Service for unlawful, fraudulent, or abusive purposes

We do not claim ownership of Customer Data.

5.2 License to Operate the Service

You grant Quin a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Data solely to provide and improve the Service.

5.3 Data Protection

Customer Data is handled in accordance with our Privacy Policy and Security practices.

6. AI-Assisted Features

The Service includes features powered by artificial intelligence.

You acknowledge and agree that:

• AI-generated outputs are based on probabilistic models and may contain errors or omissions
• You are responsible for reviewing, validating, and approving all outputs before use or distribution
• Quin does not guarantee the accuracy, completeness, or suitability of AI-generated content
• AI features are intended to assist, not replace, human judgment

7. Fees & Payment

Certain features of the Service require payment.

• Fees, billing cycles, and subscription terms are described at the time of purchase
• Payments are processed through third-party payment processors
• All fees are non-refundable unless otherwise stated
• We may change pricing with advance notice, where required
• Failure to pay may result in suspension or termination of access

8. Intellectual Property

The Service, including software, design, branding, and documentation, is owned by Quin and protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of the Service.

9. Confidentiality

Each party agrees to protect the other party's confidential information and use it only as necessary to perform under these Terms.

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from a third party.

10. Termination

You may stop using the Service at any time.

We may suspend or terminate your access if:

• You violate these Terms
• Your use poses a security or legal risk
• Required by law or regulation

Upon termination, your right to access the Service ends, and data handling will follow our Privacy Policy.

11. Disclaimers

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law:

• We disclaim all warranties, express or implied
• We do not warrant that the Service will be error-free or uninterrupted
• We do not warrant the accuracy of AI-generated outputs

12. Limitation of Liability

To the maximum extent permitted by law:

• Quin will not be liable for indirect, incidental, special, consequential, or punitive damages
• Quin's total liability arising out of or related to the Service will not exceed the amount paid by you to Quin in the 12 months preceding the claim

Some jurisdictions do not allow certain limitations, so these limits may not fully apply to you.

13. Indemnification

You agree to indemnify and hold harmless Quin from claims, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your Customer Data or business practices

14. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

Any disputes will be resolved in the state or federal courts located in that state.

15. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
